The words with initial letters capitalized have meanings defined under the following conditions.

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.

7.1 Program Description: Capitalyst IQ (operated by RedMaple Finance School Inc.) operates an SMS text messaging program through which we send account confirmations, new article notifications, saved-content reminders, and subscription service updates to subscribers who have provided prior express written consent through the opt-in form at capitalystiq.com.
7.2 Consent: By providing your mobile phone number and checking the consent checkbox on our website, you provide prior express written consent to receive recurring automated text messages from Capitalyst IQ (operated by RedMaple Finance School Inc.) at the mobile number you provide. Messages relate to your account, subscription confirmations, new content notifications, saved-content reminders, and service updates.
7.3 Consent Not Required: Your consent to receive SMS messages is not a condition of purchasing any product or using any service offered by Capitalyst IQ.
7.4 Message Frequency: Message frequency varies based on your account activity and subscription preferences.
7.5 Message and Data Rates: Standard message and data rates may apply depending on your mobile carrier plan.
7.6 Opt-Out Instructions: You may opt out of SMS messages at any time by replying STOP to any message. You may also revoke consent through any reasonable method including email to [email protected], a written request to our address, or a request submitted through our website. All opt-out and revocation requests will be honored within 10 business days.

7.8 Third-Party Sharing: Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.

11.1 Governing Law: These Terms and any dispute arising out of or related to them or your use of the Service, including any SMS communications, shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict-of-law provisions.
11.2 Informal Resolution: Before initiating any arbitration or legal proceeding, you agree to contact RedMaple Finance School Inc. at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. The parties agree to negotiate in good faith for at least 30 calendar days from receipt of the notice before either party may initiate formal proceedings.
11.3 Binding Arbitration: If the informal resolution process does not resolve the dispute within 30 days, any and all disputes, claims, or controversies arising out of or relating to these Terms, the Service, or any SMS communications shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at www.adr.org. The arbitration shall be conducted in English. The Federal Arbitration Act, 9 U.S.C. Section 1 et seq., governs the interpretation and enforcement of this Section.
11.4 CLASS ACTION WAIVER: YOU AND REDMAPLE FINANCE SCHOOL INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE AS TO ANY SPECIFIC CLAIM, THAT SPECIFIC CLAIM SHALL BE SEVERED AND RESOLVED IN COURT WHILE ALL OTHER CLAIMS CONTINUE IN ARBITRATION.
11.5 Equitable Relief Carve-Out: Notwithstanding the arbitration agreement above, either party may seek injunctive or other equitable relief in the competent courts of Canada, to prevent irreparable harm pending the outcome of arbitration. You consent to personal jurisdiction in those courts for this limited purpose.
11.6 Arbitration Opt-Out: You may opt out of the arbitration agreement in this Section 11 by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include your full name, the email address associated with your account, and a clear statement that you are opting out of arbitration. If you opt out, disputes will be resolved in court under Section 11.5.
11.7 Severability: If any provision of this Section 11 is found invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
